- ordinary res not effective unless notice of intention to pass it has been given to the company at least 28 days before GM
- once company receives special notice, it must inform D in q and if can, give SH notice at same time/form as for GM
GM is where D can argue they should not be removed
- before the GM, will seek advice and prepare for hm
often be SHs who called for GM, but can be directors.
- if D's want to propsoe oridnary res, jsut need to prepare formal notice of intention to propose ordinary res to keep at registered office. then inform director in q straight away 'forthwith'.
- if board of Ds unwilling to call GM, SH requisition GM

companys SH cannot override/retrospectively alter a decision, but SH do have prior veto over ds actions in certain circumstances e.g. SPTs
Directors duties
duty to act within powers
(a) act in accordance with companys constitution and
(b) only exercise powers for purposes conferred
duties owed to company itself, not SH/creditors
duty to promote success of company
- subjective test used by court to ascertain if D breached this duty.
duty to exercise independent judgement
- D must make their own decisions, rather than simply following the directions of others, including shareholders or outside parties.
exceptions (not a breach):
(a) Acting in Accordance with an Agreement Entered into by the Company e.g. financing agreement
(b) Acting in a Way Authorized by the Company’s Constitution i.e company articles allow certain SH to appoint D and then D allowed to vote in line with those SH decisions
duty to exercise reasonable care, skill & diligence
- of a reasonably diligent person with:
(a) general knowledge, skill * experience of a person, and
(b) general knowledge, skill & experience that the D has
duty to avoid conflicts of interest s.175
- D must avoid situations which they have/can have direct/indirect interest that conflicts/possibly conflicts with interests of company
- the D exploits an opportunity, info or property which was offered to the company.
- doesn't matter if company did not wish to proceed/ could take advantage of the above
- duty applies where there Is a contract in which the company is NOT involved in
no breach if:
- situation cannot be regarded as likely to give rise to conflict of interest
- board resolution authorises the breach/potential breach
- the D will not count in qurorum for vote to authorise infringement. if they vote, it will not be counted even if MA 14 has been excluded (allowing them to count in initially)
duty not to accept benefits from 3rd parties
- no breach if the acceptance of benefit cannot reasonably be regarded as liekly to give rise to conflict of interest
duty to declare interest in proposed transaction s.177
- D must declare nature and extend of that interest to other Ds
- declaration must be made before company enters into transaction
- flexibility in way dec can be made: board meetings or general notice in writing to Ds- but does not have to made in this way
exceptions- where D does not have to declare:
- D not aware of interest
- other directors already aware
- concerns terms of Ds service contract
must be a transaction WITH the company for this duty to be breached. --> means that cannot have a breach of s.175 too

SH can ratify breach of Ds duty by oridnary resolution..
- the D in question will not count in GMs quorum or be an eligible member for written res
if breach is ratified, the D did not breach their duty at all and will escape liability

executive directors
appointed to board and have an employment contract with the company (service contract)- employed directors
service contract- set out ds job title. duties and responsibilities.
- general director
- directors with special function
- managing director/ chief executive= director who is in charge of company

director= any person occupying the position of director, by whatever name they are called --> can be a director without being called a director
