Principal may still be bound by agents act if the principal subsequently ratifies the agents actions.

General Rule
If it is legal, it can be ratified.
Exceptions

Material Change of Circumstances
If a change of circumstance changes equity, one may not ratify.
Performance Illegal
if illegal at the time of ratification, may not be ratified.

Apparent Authority
Even if agent lack actual authority, the principal may still be liable for agents actions if the third party can prove the agent had apparent authority.
