Does it cover what you need?
Do you understand each clause?
Do you need to delete anything irrelevant?
Does the precedent favour one party over another?
If you need to amend positions, do you need to change them or is it better to free-draft?

Steps
- Highlight the relevant issues to deal with from the information given
- What additional instructions may you need from the client? - ie clarifications to what's inclded
When trying to keep sentences short, ambiiguity may appear. Sometimes, in these cases, it is better to repeat than to be ambigious
Avoid superfluous language – the test is would you say this when you speak to someone in person? (but DO NOT use abbreviations)
Customer hereby agrees and acknowledges that Supplier may exercise the Option in accordance with its terms.

Avoiding tautologies; eg
The Supplier must use the Intellectual Property Rights only to manufacture the Goods, and for no other purpose.

If using a precedent document, follow the definitions given there
Definitions go in the front in alphabetical order, unless it is only used in 1 clause or schedule, in which case you can put it at the start of that clause so that the person doesn’t have to turn 20 pages bacl.

Active Voice
Use the active voice: ie ‘Buyer shall maintain X in good repair’ – NOT X shall be maintained in good repair. Ie ‘Seller must give notice’ – NOT Notice mustbe given
