Terms of the agreement
1-303(e) express terms must be construed to be consistent with one another, if not possible, order of priority is:
- express over 1-303
- cop over cod and uot
- cod over uot
Express terms can be supplemented by Sec. 1-303 CoP (this agreement), CoD (prior agreements), or UoT (industry standards)

Good Faith sec. 1-304
Every contract or duty w/in UCC imposes an obligation of good faith in its performance and enforcement.

Good faith means honesty in fact (subjective) and the observance of reasonable commercial standards of fair dealing (objective).

Express Terms Control
Gap fillers 2=300's
For terms that were not discussed, the UCC will fill in the gaps in the contract with CoP, CoD, UoT or implied terms.
Must have
- Reasonably certain basis for giving an appropriate remedy.

Disclaimers
IWOM can be disclaimed orally or in writing, language must mention "merchantability", and if in writing, must be conspicuous
IWFPP need not use specific language, BUT must be in a CONSPICUOUS WRITING

If express warranty and disclaimer conflict, the warranty controls. Thus, almost never possible to disclaim express warranties.
Risk of Loss

Destination K
Risk does not pass to buyer until conforming goods arrive at specified destination, and tendered as to enable buyer to take delivery

Unconscionability
When the agreement or term shocks the conscience, the court can:
- Deem the entire K unenforceable; 2. strike the offending provision and enforce the rest of the K; 3. Allow parties to defend or change the provision
the basic test is whether the clauses are so one-sided sas to be unconscionalbe at the time of forming the K, the principle is to prevent oppression and unfair surpise

What does it Cover?
Transactions in GOODS
"Goods" means all things, including specialty manufactured goods, which are movable at the time of identification to the contract for sale other than the money in which the price is to be paid, investment securities (Art. 8) and things in actions.
Including the unborn young of animals and growing crops and "other identified things attached to realty as described in the section on goods to be severed from realy (Sec.2-107).
