In order that the Corporation may determine the stockholders entitled to approve corporate action by consent without a meeting the Board may fix a record date, which record date shall not precede the date upon which the resolution fixing the record date is adopted by the Board, and which date shall not be more than 10 days after the date upon which the resolution fixing the record date is adopted by the Board

      - 2.13 iii. as to the stockholder giving the notice and the beneficial owner, if any, on whose behalf the nomination or proposal is made

        1.2 Decidir sobre la aplicación de Ia cuenta de resultados
        
        1.3 Elegir a los miembros del Consejo de Administración
        
        1.4 Elegir y/o remover a los presidentes de los Comités que ejerzan las funciones en materia de Prácticas Societarias y de Auditoría
        
        1.5 Aumentar o reducir el capital social en su parte variable
        
        1.6 Acordar, sin exceder los limites de Ley, para cada ejercicio, el monto máximo de recursos que la Sociedad podia destinar a la compra de acciones propias en los terminos del Articulo 37 de estos Estatutos
        
        1.7 Aprobar las operaciones que pretenda Ilevar a cabo la Sociedad o de las personas morales que esta controle, en el lapso de un ejercicio social
        
        1.8 Resolver sobre cualquier otro asunto que le fuere sometido a su consideracion que no estuviere reservado especificamente por alguna norma legal aplicable o por estos Estatutos a una asamblea general extraordinaria de accionistas
      - I.2 Extraordinarias de accionistas, para resolver sobre cualesquiera de los siguientes asuntos:
        
        2.1 Prorroga del plazo de duración de la Sociedad
        
        2.2 Disolución anticipada de la Sociedad
        
        2.3 Aumento o reducción del capital social fijo de la Sociedad
        
        2.4 Cambio del objeto de Ia Sociedad
        
        2.5 Cambio de nacionalidad de Ia Sociedad
        
        2.6 Fusión, transformación y escisión de la Sociedad
        
        2.7 Acordar la cancelación de la inscripción de las acciones de Ia Sociedad en el Registro Nacional de Valores y en otras bolsas de valores nacionales o extranjeras en las que se encuentren registradas
        
        2.8 Emisión de acciones preferentes
        
        2.9 Emisión en la parte fija del capital social de acciones Serie "N" o neutras en los términos de las disposiciones legales aplicables en materia de inversiones extranjeras
        
        2.10 Amortización, con cargo a utilidades repartibles, de acciones propias de Ia Sociedad adquiridas al amparo del Articulo 136 de Ia Ley General de Sociedades Mercantiles
        
        2.11 Emisión de bonos u obligaciones, con o sin garantía específica, convertibles o no en acciones de Ia Sociedad
        
        2.12 Cualquier otra modificación a estos Estatutos
        
        2.13 Cualquier decision para que la Sociedad exija responsabilidad a cualquiera de los Consejeros o miembros de los Comités que ejerzan las funciones en materia de Prácticas Societarias y de Auditoría
        
        2.14 Los demás asuntos para los que las disposiciones legales aplicables o estos Estatutos, especificamente exijan un quorum especial
