delegation of obligation
Occurs when a third party agrees to satisfy a performance obligation owed by one of the parties to a contract.
Does not relieve delegator from his obligations under the contract and the delegator remains liable for its performance unless there has been a novation.
Novation occurs when the obligee agrees to release delegator in return for the liability of the delagatee.
Certain duties are not delegable: personal performance contracts when the recipient relies on the qualities of the party who is to render the performance. Or if the contract prohibits delegation.
