Step 2: Formation

Acceptance: both common law and the UCC, the offeror can control the method by stating conditions

IF offer is silent, offeree may indicate acceptance by starting performance

The existence of mutual assent, consideration, and the absence of any defense to enforcement and no defenses to enforcement exist.

Defenses
Lack of Capacity: under 18, mental incompetence, and intoxicated; Statute of Frauds; Illegality; Misrepresentation; Nondisclosure; Duress; Unconscionability; and Mistake of Fact (mutual or unilateral)

Unilateral Mistake: does not prevent enforcement BUT if the noon-mistaken party knew or had reason to know about the mistake, the contract is voidable by the mistaken party
Step 4: Performance
Conditions

Failure to Perform: Does not necessarily constitute a breach, BUT may relieve other party of performance

Step 3: Interpretation
Parol Evidence
Whether the meaning of a document can be determined by the negotiations of the parties prior to the written contract
Admissibility depends: (1) What is the purpose for which the evidence is being introduced? AND (2) Does the evidence relate to a term or contract that is integrated?

Integration: whether the parties intended the written contract to be the final discussion as to specific terms

NOT Integrated : parol evidence is admissible to supplement the terms, CAN contradict the agreement

Delegation
When a third party agrees to satisfy a performance obligation owed by one of the parties to a contract

CANNOT be delegated: personal performance contracts when the recipient relies on the qualities of the party who is to render the performance OR if the contract prohibits delegation
