DIRECTORS, Qualification - Coggle Diagram

- - - - Except as is otherwise provided by this Act, the constitution or any resolution of the Board or members of the company, the directors may delegate any power of the Board to any committee of the Board, director, officer, employee, expert or any other person.
    - - Directors are entitled to rely on information provided by others, in making a decision.
    - - A nominee director shall act in the best interests of the company, and in the event of a conflict between his responsibility to the company and his obligation to his nominator, he shall not subjugate his duty to the company to his nominator.
    - - makes a business judgement for a proper purpose and in good faith;
      - does not have a material personal interest in the subject matter of the business judgment;
      - is informed about the subject matter of the business judgment to the extent the director reasonably believes to be appropriate under the circumstances; and
      - reasonably believes that the business judgement is in the best interest of the company
    - - (1) a director shall at all times exercise his powers in accordance with the CA 2016, for a proper purpose and in good faith in the best interest of the company, retaining the provision in Section 132(1) of the CA 1965.
