Location of records and registers
Registered office
All companies must have an address at which legal documents can be served
On incorporation, the first registered office will be the address detailed on Form IN01
Any change in registered office must be notified to Companies House on Form AD01 to be effective
The RO must be situated in the country of registration
The RO must be shown on the company's business stationery, emails and its websites
SAIL address
Any company may elect to hold one or more of the following registers at a SAIL address
Register of members
Register of directors
Directors service contracts
Directors indemntities
Register of secretaries
Register of PSCs
Records of resolutions
Contracts relating to purchase of own shares
Documents relating to redemption or purchase of own shares out of capital by private company
Register of debenture holders
Report to members of outcome of investigation by public company into interests in its shares
Register of interests in shares disclosed to public company
Instruments creating charges and register of charges
Where this option is taken, notification must be given to Companies House using Forms AD02 and AD03 so that anyone wishing to inspect the registers will know which address to attend
Once a company has used a SAIL address for any particular register, notification of any changes to that address must be notified to Companies House even where the records have been moved back to the office
Central register
From 2016 private companies can elect to hold fie of the statutory registers on the central register maintained by the Registrar of Companies at Companies House
Available to all private companies, but is principally a deregulating measure intended for use by those single member sold director companies where there are few if any changes to the registered information during the life of the company
The registers that may be kept on the central register are
Register of members
Register of directors
Register of directors usual residential address
Register of secretaries
PSC Register
The main disadvantage of taking advantage is the availability of the directors and shareholders private residential addresses on the public record
Any person can apply to have this residential address information suppressed on the public record
Individuals must opt in to take advantage of the suppression and provide a communication address for use by the Registrar
Companies wishing to take advantage of this option to keep their registers on the central register do so by opting in to the service by giving notice to the Registrar in respect of each register they wish to hold on the central register
From the time of the election there is no need for company to update the historical registers it kept until such time as it opts out
If a company opts out of keeping the registers on the central register it simply files notice and then takes responsibility for maintaining the registers itself
