NAPOCOR IS A GOVERNMENT AGENCY SEPARATE AND DISTINCT FROM THE GOV'T
The National Power Corporation is a government agency with a juridical personality separate and distinct from the government, and it is not mere agency of the government but a corporate entity which performs its own proprietary functions. The National Power Corporation has its own assets and liabilities and exercises corporate powers, including the power to enter into all contracts, through its Board of Directors.
OFFICIALS EXCEEDED SCOPE OF AUTHORITY BUT NAPOCOR RATIFIED
In this case, the officials of the NPC exceeded the scope of their authority when they authorized FUCC to commence blasting works without the benefit of an extra work order approved in accordance with PD 1594. Such actions cannot bind NPC unless it has ratified such acts or is estopped from disclaiming them.
BECAUSE OF EQUITABLE ESTOPPEL
The Compromise Agreement entered into by the parties, with National Power Corporation being represented by its President, acting pursuant to its Board Resolution No. 95-54 is a confirmatory act signifying NPC’s ratification of all the prior acts of its officers.
Both parties agreed that the Compromise Agreement shall serve as the Supplemental Agreement for the payment of NPC’s blasting works at the Botong site. Under this agreement, FUCC is entitled to the payment for the blasting works. Therefore, as the blasting works were already rendered by FUCC and accepted by NPC, it is equitable that NPC make compensation, pursuant to the principle of unjust enrichment.
