Annual remuneration report
The rest of the directors remuneration report will consist of detailed disclosures concerning remuneration payments made to directors in the previous financial year, we refer this as the annual remuneration report
Most of the information in the annual remuneration report must be audited, by contrast the ifnromation in the directors remuneration policy need not be audited
Avisory vote on the annual remuneration report
Annual remuneration report must be put to an annual vote by shareholders at the general meeting at which its report and accounts are laid
No entitlement to remuneration is made conditional on this resolution being passed
If the resolution is defeated, the directors must put the existing directors remuneration policy or a revised policy to vote at the next meeting at which accounts are laid
Content
Summary of the major changes and the exercise of discretion - a statement by the remuneration committee chair summarising the major decisions and changes made in relation to directors remuneration during the year and the context in which those changes or decisions occurred. The statement must also include a summary of ny discretion exercised by the remuneration committee in relation to the award of directors remuneration
Sngle total figure table - showing for each director a single total figure for annual remuneration and its component parts, with comparative information for the previous year
Total pension entitlements for each director - the single total figure table shows pension benefits that accrued during the financial year. This section shows each director's total pensions benefits as at the end of that year, their normal retirement date and a description of any additional benefit receivable in the event of early retirement
Scheme interest awarded during the financial year - A table showing any grant of options or shares during the year the face value of those awards and a description of each scheme, including a summary of the performance measures and the percentage of scheme interests that would be receivable if the minimum performance was achieved
Payments made to past directors - including any pension benefits but excluding any payments for loss of office, which must be shown separately
Payments for loss of office - details of any payments made (or payable) to former directors for loss office during the financial year, including an explanation of how each component was calculated and whether any discretion was exercised in respect of the payment
Directors shareholdings and share interests in the company - a table showing each directors interests in the company's shares (including those of connected persons) and scheme interests, together with various detailed about those schemes
Performance graph and table - a group covering a period of 10 years which compares total shareholder return with a broad share index and a tablet showing a summary of the CEO's remuneration for each year covered by the performance graph
Percentage change in remuneration of the CEO - The percentage change in the following elements of the CEOs pay compared to the employees of the company or group taken as a whole: total salary and fees, all taxable benefits and variable pay
Pay ratio information - for companies with more than 250 employees, a table of pay ratio information comparing the remuneration of the CEO with the 25th 50th and 75th percentile of the full time equivalent pay of the company's UK employees
Relative importance of spend on pay - a table or chart that shows for the relevant and preceding financial year, the company's expenditure on employee pay, dividends and share buy backs and other significant payments or uses of profit or cash flow
Description of how the company intends to implement the approved remuneration policy in the following year
Details regarding the membership of the remuneration committee and any advisers
Statement on voting - setting out the peerage of votes cast for and against (and withheld) in respect of the last resolutions to approve the directors remuneration report and directors remuneration policy and where there was a significant percentage of votes against either resolution, a summary of the reasons and any actions taken by the directors in response to those concerns

Must show for each person who was a director during the relevant financial year a figure for that year and the previous year in respect of
Total salary and fees
All taxable benefits
Bonuses and short-term incentives schemes that only relate to the relevant financial year
Long term incentive schemes where final vesting is determined as a result of the achievement of performance measures or targets relating to a period ending in the relevant financial year and not dependent on performance or targets achieved in any future financial year
All pension related benefits
A separate column for every other element of remuneration that is not required to be in any other column
The total amount of the sums set out in the previous colums
The table must be followed by a detailed explanation of some of the components inclduing
The amounts of any variable award that is attributable to share price appreciation
Where any discretion has been exercised in respect of a variable award, particulars of how that discretion was exercised and how th resulting level of award was determined
