Shareholder engagement - Coggle Diagram

- - - - Companies should develop an investor engagement strategy and review it annually
      - This annual review should be referred to in the corporate governance section of the company's annual report
      - The strategy should consist of a combination of one-to-one meetings with the largest shareholders and group meetings for a number of smaller investors
      - Meetings should be ongoing - regular, and not driven by events or specific issues.
      - There may occasionally be merit in organising collective engagement for a number of the largest shareholders
    - - The company should ensure that it invites the 'right people' to meetings
      - These will mainly be large shareholders and investors with a strong track record of engagement
      - The company should also ensurethhat individuals within the company to attend who are best placed to speak on the issues that will be discussed at the meeting
      - From the investors point of view, voting at the next AGM should reflect the outcome of discussions at the meetings held as part of the engagement process. If shareholders intend to vote differently at the AGM, they should tell the company in advance to give the board of directors time to work further on the engagement process
    - - Meetings should discuss matters that are of direct relevance to the company's value
      - There should be at least one engagement a year that focuses on the company's strategy and performance
      - Remuneration should not be allowed to dominate discussions and should be discussed with the context of creating value.
      - Although executive directors may be invited to the strategy and performance meeting, they may be asked at some stage to leave the meeting, so that shareholders can discuss the issues with the chair and other NEDs
    - - There should be feedback in both directions
      - The procedures for providing feedback should be agreed and should relate to matters discussed at the meeting and the engagement process overall
      - From the company's perspective, feedback may consist of a series of questions from the company such as
        
        Did you meet the right people
        
        Were there any aspects of the discussions that surprised you
        
        Did the meeting cover all the topics that you expected
        
        Have you learned anything from the meeting that might influence your view of the company as an investment
