• What is it: is the co capable of acting? A co must enter into contracts to fulfil its purpose e.g. selling chairs or shoes. As cos are SLP, natural persons are required to act on their behalf and they also therefore authority to be delegated to them (corporate authority, see below). If I am a CLS, under Section 38, I have full and unlimited capacity to act just like a natural person would. Before Section 38, ‘ultra vires’ applied (UV) which meant that if the co acted outside its objects as set out in the constitution, the transaction was void. This rule is now redundant for the CLS but still applies to all other cos under the Act, albeit in a very limited manner (see below).
