The company’s membership of 94,000 was so large that the majority of its income was spent on administration costs, and not on furthering the company’s objects. To reduce costs, the company proposed a scheme of arrangement under which all of the members except seven would have their membership terminated and would lose all their rights.
The court refused to sanction the scheme, on the ground that it did not involve a compromise, but would result in the vast majority of members completely surrendering their rights.
