        Being a director, employee or shareholder of an issuer of securities
        
        Having access to the information by virtue of their employment, office or profession

- - - - An idnvidiual who has information as an insider is guilty of insider dealing if in the circumstances mentions, he deals in securities that are price affected securities in relation to the information
      - Securities will be price affected if, and only if, the information would, if made public, be likely to have a significant impact on their price

        On a regulated market
        
        The person ealing is acting as a professional intermediary and relies on such a person
      - s. 55 provides that a person deals in securities if any of the 3 conditions are met
        
        They acquire the securities, including agreeing to acquire the security and entering into a contract which creates the security
        
        They dispose of the securities, including agreeing to dispose of the security or bringing to an an end the contract which create the security
        
        They procure, directly or indirectly, an acquisition or disposal of the securities by any other person
    - - An individual who has insider information is guilty of insider dealing if they encourage another person to deal in securities that are price affected securities in relation to the infromation, knowing or having reasonable cause to believe that the deal would take place
    - - An individual who has information as an insider is guilty of insider dealing if they disclose the information otherwise than in the proper performance of the functions of their employment, office or profession to another person
