Persons who wish to incorporate a company by registration must subscribe their name to a memorandum of association and comply with CA2006's requirements regarding registration

Proposed name

Cannot have the same name as another company listed on CH index or if Secretary of State is of the option that it is too similar to an existing company

Following incorporation the name must be displayed at the RO, any inspection place and other location where it carries on business, must be disclosed on the website, documents such as business letters etc. Failure to comply is a criminal offence
Statement of compliance
The application must be accompanied by a statement of compliance which states the requirements of the CA2006 have been complied with

When a company is purchased, the agent will transfer the company to the purchaser and notify CH of the relevant changes
The advantage is that they need not engage in the registration process themselves and a company can be obtained very quickly and inexpensively
The disadvantage is that the company details will have been created by the agent and so may not exactly meet the needs of the purhcaser
