A company must have a registered office which will be the address at which the company can be contacted by the Registrar or any other parties who need or wants to correspond with a particular company
The place where any court summons, writs or other such legal documents and actions can be served on the company or its directors
This allows creditors and others with an action against the company to have an address where they can progress their particular dispute or grievance
The registered office will also usually be the place where the company will keep its registers. The minute books recording the meetings of the directors and members would also usually be retained at the registered office
The registered office may or may not also be the administrative office, if it is the accounting records may also be maintained at the registered office
In the UK and some offshore jurisdictions there is a requirement to display the name of the company in a prominent place at its registered office where it can be viewed by the general public during working hours. This may be by way of a simple written list, a nameplate or a television screen in the reception area of the registered office
There is usually a requirement in the company's legislation that requires the company to notify the Register of Companies of any change of registered office within a certain time frame, for example 28 days
A company that fails to comply with any provision may be liable to various penalties such as to be guilty of a criminal office or could be wound up under the relevant company law or struck off from the Register of Companies
A company may at any time change the situation of its registered office, however, depending upon the jurisdiction the change may not be effective until notice and where applicable, the appropriate fee has been paid tot eh Registrar This notice should be forwarded to the Registrar after an ordinary resolution has been passed at a directors meeting of the company
