Statutory returns and filings
Many jurisdictions require locally incorporated companies to file an annual return to the local Registrar
This return is a public document that can be obtained form the relevant Registrar of Companies
These returns or validations may include
Name of company
Registered office address of company
Registered number of company
Details of authorised and issued share capital and their current
Details of the members
Details of the officers of the company
Where it is the law of the jurisdiction to file an annual return in each calendar year or by a specified date the company will
Complete an annual return containing information that was correct on that date in that year
Submit the information in paper format or electronically a copy of the annual return to the Registrar
File a copy of the annual return in the permanent file of the company at its registered office address
The annual return is therefore submitted to the Company Registrar with the relevant fee to
Re register the company each year
Confirm that the company is still in existence
Failure to file
Guilty of an offence
Liable to pay the Registrar the appropriate penalty for the delay in submitting the annual return
Liable to be struck from the Register of Companies
