- Any person that qualified and desires to act as secretary shall be registered under Section 241 before he can act as a secretary. (S241(1))

- CCM kept register of secretaries & entered in the register in relation to a secretary.
(a) the name
(b) the residential address and business address
(c) the detailed of the qualification referred to in S235(2)
- member of the prescribed bodies
- licensed by the Commission
(d) other information as the CCM may require.
An officer of the company extensive duties and responsibility with the director under the Company Act

S 236(3)- Appointment CS has to give his consent to be a secretary in writing & declare
(a) qualified under S 235(2)
(b) not qualified under S 238

- Before register, CCM may require Secretary to produce evidence to his satisfaction @ impose any other conditions that deems fit

S 237(3)- CS shall cease to be the secretary (a) on the expiry of 30 days from the date of the notice lodged @ specified period in constitution
(b) on the expiry 30 days from the date of the notice to the Registrar
- to encourage the cs to be a good professional based on morality, productivity and effectiveness in the administration
- to encourage the cs to be more responsible and accountable for duties
