- contract is void (legal non-entity, legal nullity): very serious defect flaw,
e.g. mistake in common law; contract prohibited by statute or contrary to public policy
- contract is voidable: from equity, valid until chosen to set aside, if you meet certain criteria (bars to rescission)
e.g. mistake in equity, misrepresentation, duress, undue influence, unconscionability
- contract is unforceable: valid but courts will not assist one or both parties to enforce contractual rights
Terminology: "illegal contract"
- void or unenforceable contract
- not simply anything that involves illegality, e.g. illegal act/knowledge of illegality
Illegality as a defence
- several doctrines coming together
- based on public policy: courts unwilling to enforce due to violation of legal norms (from statute/common law) -> for protection of wider public interest rather than just result between parties
